3.1 Scope of Engagement

The specific scope, deliverables, timeline, and fees for any engagement are agreed upon separately in a Service Agreement, proposal, or fast quote confirmation provided to the client.

 

3.2 Service Changes

We reserve the right to modify, suspend, or discontinue any service offering at any time without notice to the general public. However, any active client engagement will not be terminated without the notice period outlined in Section 10.

 

3.3 Free Audit

Our free 48-hour Amazon audit is provided as a no-obligation diagnostic report. Requesting an audit does not create a binding service contract between you and Ecom Mate Ltd.

 

 

3.4 Results Disclaimer

Any results, performance benchmarks, or case study figures referenced on our Website — including revenue lifts, TACoS improvements, or growth percentages — are from real client accounts and are shared for illustrative purposes only. Past performance does not guarantee identical results for your brand or account.


 

4. Client Responsibilities

 

4.1 Accurate Information

You agree to provide accurate, complete, and up-to-date information when submitting any form, audit request, or onboarding documentation.

 

4.2 Account Security & Compliance

You are solely responsible for maintaining the security and compliance of your Amazon Seller Central account, eBay Seller Hub, Etsy shop, or any other marketplace account. Granting us access to your account does not transfer ownership or liability to Ecom Mate Ltd.

 

4.3 Selling Rights

You confirm that you have the legal right to sell the products listed in your marketplace accounts and that your account is in good standing at the point of engagement.

 

4.4 Timely Responses

You agree to respond promptly to requests for information, approvals, or feedback required to deliver the agreed services. Delays caused by the client may affect timelines and deliverables, for which Ecom Mate Ltd bears no responsibility.

You must not use our services for any unlawful purpose or in any way that violates:


 

5. Payment Terms

 

5.1 Agreed Fees

Payment terms, amounts, and schedules are outlined in the individual Service Agreement or proposal confirmed with each client.

 

5.2 Currency & Due Dates

All fees are quoted in GBP (£) or USD ($) as agreed, and are due by the date specified in the invoice or service agreement.

 

5.3 Late Payments

Late payments may incur interest at the rate of 8% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

 

5.4 Service Suspension

Ecom Mate Ltd reserves the right to pause or suspend active services if payment is not received by the agreed due date.

 

5.5 Refund Policy

All fees paid are non-refundable unless otherwise stated in writing in your individual Service Agreement.


 

6. Confidentiality

 

6.1 Mutual Confidentiality

Both parties agree to keep confidential any proprietary, sensitive, or commercially valuable information shared in the course of the engagement — including account data, sales figures, strategies, and business details.

 

6.2 Data Sharing

We will not share your account information or data with any third party without your explicit consent, except where required by law or where necessary to deliver the agreed services (e.g., using approved third-party tools such as Helium 10 or reporting platforms).

 

6.3 Client Obligations

You agree not to share our proprietary strategies, campaign structures, keyword research, or deliverables with third parties or competitors.


 

7. Intellectual Property

 

7.1 Website Content

All content on the ecommate.co.uk website — including text, graphics, logos, case study content, and service descriptions — is the intellectual property of Ecom Mate Ltd and may not be copied, reproduced, or distributed without our written permission.

 

7.2 Client Deliverables

Upon full payment of agreed fees, deliverables created specifically for your brand (such as listing copy, A+ content, graphic design assets, and ad campaign structures) become your property.

 

7.3 Case Study Rights

We retain the right to reference your brand or results — in anonymised or approved form — as case study material on our Website, social media, or marketing materials, unless you expressly request otherwise in writing.


 

8. Performance & Results Disclaimer

 

8.1 No Guaranteed Outcomes

While we work with proven strategies and genuine expertise, we cannot guarantee specific revenue targets, ranking positions, review counts, ACoS levels, or any other performance metric. Marketplace algorithms, competition, seasonality, and client-side factors all influence outcomes.

 

8.2 Benchmarks Are Illustrative

Our benchmarks and case study figures — such as 70% average 12-month revenue lift or TACoS below 7% — reflect real historical data from our client portfolio. These figures are not promises or warranties of results for any new engagement.

 

8.3 Client-Side Actions

We are not responsible for account suspensions, listing removals, or policy violations that arise from actions taken by the client outside of our agreed scope of work.


 

9. Limitation of Liability

 

9.1 Indirect Damages

To the fullest extent permitted by applicable law, Ecom Mate Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or Website.

 

9.2 Liability Cap

Our total liability to you in connection with any engagement shall not exceed the total fees paid by you to Ecom Mate in the three months preceding the event giving rise to the claim.

 

9.3 Exceptions

Nothing in these Terms limits our liability for:

  • Fraud or fraudulent misrepresentation
  • Any other liability that cannot be excluded under applicable UK law

 

10. Termination

10.2 Outstanding Fees

Upon termination, you remain liable for payment of any fees due for work completed up to the termination date.

 

10.3 Immediate Termination

We reserve the right to terminate any engagement immediately and without notice if you are found to be:

  • In material breach of these Terms
  • Engaging in fraudulent or unlawful activity
  • Violating marketplace policies in a way that puts our operations or reputation at risk

 

11. Third-Party Tools & Platforms

 

11.1 Tools Used

Our services may involve the use of third-party tools and platforms including but not limited to Helium 10, Amazon Seller Central, eBay Seller Hub, Etsy, Shopify, Google Ads, and Calendly. Your use of those platforms is governed by their respective terms of service.

 

11.2 Platform Affiliations

Ecom Mate Ltd is not affiliated with, endorsed by, or in partnership with Amazon, eBay, or Etsy — beyond our status as a verified Amazon Service Provider Network (SPN) partner.


 

12. Website Use

 

12.1 Lawful Use
